Terms and Conditions of Use

 

​PLEASE READ THE FOLLOWING TERMS AND CONDITIONS OF USE  AND DISCLAIMER CAREFULLY BEFORE USING OUR WEB SITE, OUR ANDROID OR OUR IOS APPLICATION (collectively, our "Site").

These Terms and Conditions of Use ("Terms") govern the access or use by you, an individual, from within the United States and its territories and possessions of applications, websites, content, products, and services (the "Services") made available in the United States and its territories and possessions by Signature Notary Ink, LLC ("SNI") d/b/a The Notaryii Group and its subsidiaries and affiliates (collectively, "Notaryii"). Together with the SNI Privacy Policy (the "Privacy Policy") incorporated herein by reference (collectively with the Terms and Conditions of Use, the “Agreement”) is an agreement between you and Signature Notary Ink d/b/a The Notaryii Group ("Notaryii" and/or “Company”) that states the terms and conditions under which you may use the Site and receive mobile notary services, which includes a technology platform for mobile notary orders (the "Mobile Notary Service"). Your use of Notaryii and the Site constitutes your agreement to the terms and conditions set forth below. If you do not agree with all of the terms and conditions, do not use the Site or the notary mobile service.

 

Our collection and use of personal information in connection with the Services is as provided in SNI's Privacy Policy located at www.notaryii.com/legal/usa/privacy. If you have any questions about this Agreement or the Site please access our Frequently Asked Questions on our Site or call our Customer Service team at 1-855-764-6682.

1. Applicability & Acceptance of These Terms of Service

By viewing, using, accessing, browsing, or submitting any content or material on the Site, you agree to these Terms and the Privacy Policy as a binding legal agreement between you and Notaryii,and its parent company, affiliates, without limitation or qualification. The term "you" or "user" shall refer to any person or entity who views, uses, accesses, browses or submits any content or material to the Site. In these Terms, the words "including" and "include" mean "including, but not limited to."

You further confirm that you are at least 18 years of age and that you will provide valid photo identification upon the notary request to verify your identity before signing.

 

If you do not agree to these Terms and the Privacy Policy, then you may not use the Site.  SNI reserves the right to modify these Terms at any time without prior notice. You agree that each visit you make to the Site shall be subject to the then-current Terms and Privacy Policy, and continued use of the Site now or following modifications in these Terms of Service and Privacy Policy confirms that you have read, accepted, and agreed to be bound by such modifications.

 

2. The Services & Processing Information

SNI provides mobile notary services, and a mobile notary service only, for our notary agents and preferred vendors (each, a "Notary Agent”, “Notary” and/or Preferred Vendor"), through which all orders and purchases are processed.  At time of purchase, your credit card will be charged by a third party credit card processing provider who will transfer and deliver funds to Signature Notary Ink.  All credit card transactions will be listed as Notaryii or SNI.

 

The Services constitute a technology platform that enables users of Notaryii's mobile applications or website provided as part of the Services (each, an "Application") to arrange and schedule mobile notary services and/or loan closing services with third party providers of such services, including independent third party notary providers and third party logistics providers under agreement with SNI or certain of Notaryii's subsidiaries ("Third Party Providers"). Unless otherwise agreed by Notaryii in a separate written agreement with you, the Services are made available solely for your personal, noncommercial use. In processing any notary order(s), neither SNI nor any officer, director, employee, shareholder or agent of SNI shall be liable to the User or any third-party for any claims relating to the purchase, sale, delivery of mobile notary services or any consequences which may result thereof.

 

User shall indemnify and hold harmless SNI and its directors, officers, employees, shareholders, affiliates, agents, representatives, third-party information providers, Notary Agents, merchants, or licensors (collectively, "Notaryii Parties") from and against, for and in respect of, any and all claims, demands, losses, costs and expenses (including the cost of any investigation and reasonable attorneys' fees), damages, obligations, deficiencies, and liabilities, which arise or result from or are related to User’s improper or illegal: (a) processing of the notary documents order; (b) loss and/or improper disclosure of documents or customer information; (c) a breach or suspected breach in security (d) and/or any consequences which result thereof.


YOU ACKNOWLEDGE THAT SNI AND ITS AGENTS DO NOT PROVIDE LEGAL SERVICES OR FUNCTION AS A LICENSED LAWYER OR ATTORNEY. SNI's SERVICES MAY BE USED BY YOU TO REQUEST AND SCHEDULE MOBILE NOTARY SERVICES OR LOAN SERVICES WITH THIRD PARTY PROVIDERS, BUT YOU AGREE THAT NOTARYII HAS NO RESPONSIBILITY OR LIABILITY TO YOU RELATED TO ANY NOTARIZATIONS OR LOAN SERVICES PROVIDED TO YOU BY THIRD PARTY PROVIDERS THROUGH THE USE OF THE SERVICES OTHER THAN AS EXPRESSLY SET FORTH IN THESE TERMS.

NOTARYII DOES NOT GUARANTEE THE SUITABILITY, SAFETY OR ABILITY OF THIRD PARTY PROVIDERS. IT IS SOLELY YOUR RESPONSIBILITY TO DETERMINE IF A THIRD PARTY PROVIDER WILL MEET YOUR NEEDS AND EXPECTATIONS. NOTARYII WILL NOT PARTICIPATE IN DISPUTES BETWEEN YOU AND A THIRD PARTY PROVIDER. BY USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU MAY BE EXPOSED TO SITUATIONS INVOLVING THIRD PARTY PROVIDERS THAT ARE POTENTIALLY UNSAFE, OFFENSIVE, HARMFUL TO MINORS, OR OTHERWISE OBJECTIONABLE, AND THAT USE OF THIRD PARTY PROVIDERS ARRANGED OR SCHEDULED USING THE SERVICES IS AT YOUR OWN RISK AND JUDGMENT. NOTARYII SHALL NOT HAVE ANY LIABILITY ARISING FROM OR IN ANY WAY RELATED TO YOUR TRANSACTIONS OR RELATIONSHIP WITH THIRD PARTY PROVIDERS.

 

3. License.

Subject to your compliance with these Terms, SNI grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferrable license to: (i) access and use the Applications on your personal device solely in connection with your use of the Services; and (ii) access and use any content, information and related materials that may be made available through the Services, in each case solely for your personal, noncommercial use. Any rights not expressly granted herein are reserved by SNI and Notaryii's licensors.

 

4. User Requirements and Conduct.

The Service is not available for use by persons under the age of 18. You may not authorize third parties to use your Account, and you may not allow persons under the age of 18 to receive notary services from Third Party Providers unless they are accompanied by you. You may not assign or otherwise transfer your Account to any other person or entity. You agree to comply with all applicable laws when using the Services, and you may only use the Services for lawful purposes (e.g., no transport of unlawful or hazardous materials). You will not in your use of the Services cause nuisance, annoyance, inconvenience, or property damage, whether to the Third Party Provider or any other party. In certain instances you may be asked to provide proof of identity to access or use the Services, and you agree that you may be denied access to or use of the Services if you refuse to provide proof of identity.

SNI grants you permission (which may be revoked at any time for any reason or no reason) to access the Site and to download, email, share via social networking or print individual pages from the Site in accordance with this Agreement and solely for the purpose of placing an order with Notaryii and for your personal and non-commercial use of the Notaryii mobile service, provided you do not remove any trademark, copyright or other notice contained on such pages. No other use is permitted. You may not misuse the Notaryii mobile service. You may not, for example, incorporate the information, content, or other material in any database, compilation, archive or cache. You may not modify, copy, distribute, re-publish, transmit, display, perform, reproduce, publish, reuse, resell, license, create derivative works from, transfer, or sell any information, content, material, software, products or services obtained from the Site, except as specifically noted above. Except as specifically authorized by Notaryii, you may not deep-link to the Site for any purpose or access the Site manually or with any robot, spider, web crawler, extraction software, automated process or device to scrape, copy, or monitor any portion of the Site or any information, content, or material on the Site. You may not link or frame to any pages of the Site or any content contained therein, whether in whole or in part, without prior written consent from SNI. You may like or follow Notaryii or share links to the Site via social networking technology referenced on the Site. The licenses granted by SNI terminate if you do not comply with this Agreement. Notaryii reserves all of its statutory and common law rights against any person or entity who violates this paragraph. You agree that your use of the Site and/or services on the Site is subject to all applicable local, state and federal laws and regulations.

 

You also agree:

  • to comply with US law and local laws or rules regarding online conduct and acceptable material;

  • that Notaryii reserves the right to prosecute to the fullest extent of the law: any attempt by the User to misconstrue his or her identity either directly or indirectly; or any attempt to use SNI to provide or perform fraudulent activity. Notaryii makes every effort to ensure that documents are not signed by anyone who is not authorized to sign a document;

  • not to access the Site or services using a third-party's account/registration without the express consent of the account holder;

  • not to use the Site for illegal purposes;

  • not to commit any acts of infringement on the Site or with respect to content on the Site;

  • not to use the Site to engage in commercial activities apart from sanctioned use of SNI mobile notary services;

  • not to copy any content, including, but not limited to store menu content and third-party reviews, for republication in print or online;

  • not to create distributor reviews or blog entries for or with any commercial or other purpose or intent that does not in good faith comport with the purpose or spirit of the Site;

  • not to attempt to gain unauthorized access to other computer systems from or through the Site;

  • not to interfere with another person's use and enjoyment of the Site or another entity's use and enjoyment of the Site;

  • not to upload or transmit viruses or other harmful, disruptive or destructive files; and/or

  • not to disrupt, interfere with, or otherwise harm or violate the security of the Site, or any services, system resources, accounts, passwords, servers or networks connected to or accessible through the Site or affiliated or linked sites (including those of our partner stores).

 

5. Harm from Commercial Use

You agree that the consequences of commercial use or re-publication of content or information from the Site may be so serious and incalculable that monetary compensation may not be a sufficient or appropriate remedy and that SNI will be entitled to temporary and permanent injunctive relief to prohibit such use.

 

6. Proprietary Rights

You acknowledge and agree that the Site contains proprietary information and content that is protected by intellectual property and other laws, and may not be used except as provided in these Terms of Service without advance, written permission of SNI. All Site content, design, text, graphics, interfaces, and images (and the selection and arrangements thereof), and software, hypertext markup language ("HTML"), scripts, active server pages, and other content and software used in the Site are the property of, or duly licensed to Notaryii.

 

7. Payment

You understand that use of the Services may result in charges to you for the services or goods you receive from a Third Party Provider ("Charges"). After you have received services obtained through your use of the Service, SNI will facilitate your payment of the applicable Charges on behalf of the Third Party Provider, as such Third Party Provider's limited payment collection agent. Payment of the Charges in such manner shall be considered the same as payment made directly by you to the Third Party Provider. Charges will be inclusive of applicable taxes where required by law. Charges paid by you are final and non-refundable, unless otherwise determined by Notaryii. You retain the right to request lower Charges from a Third Party Provider for services by you from such Third Party Provider at the time you receive such services or goods. Notaryii will respond accordingly to any request from a Third Party Provider to modify the Charges for a particular service or good.

 

All Charges are due immediately and payment will be facilitated by SNI using the preferred payment method designated in your Account, after which Notaryii will send you a receipt by email. If your primary Account payment method is determined to be expired, invalid or otherwise not able to be charged, you agree that Notaryii may, as the Third Party Provider's limited payment collection agent, use a secondary payment method in your Account, if available.

 

As between you and Notaryii, SNI reserves the right to establish, remove and/or revise Charges for any or all services or goods obtained through the use of the Services at any time in Notaryii's sole discretion. Further, you acknowledge and agree that Charges applicable in certain geographical areas may increase substantially during times of high demand. Notaryii will use reasonable efforts to inform you of Charges that may apply, provided that you will be responsible for Charges incurred under your Account regardless of your awareness of such Charges or the amounts thereof. Notaryii may from time to time provide certain users with promotional offers and discounts that may result in different amounts charged for the same or similar services or goods obtained through the use of the Services, and you agree that such promotional offers and discounts, unless also made available to you, shall have no bearing on your use of the Services or the Charges applied to you. You may elect to cancel your request for services from a Third Party Provider at any time prior to such Third Party Provider's arrival, in which case you may be charged a cancellation fee.

 

This payment structure is intended to fully compensate the Third Party Provider for the services or goods provided. Except with respect to notary mobile services requested through the Application, Notaryii does not designate any portion of your payment as a tip or gratuity to the Third Party Provider. Any representation by Notaryii (on Notaryii's website, in the Application, or in Notaryii's marketing materials) to the effect that tipping is "voluntary," "not required," and/or "included" in the payments you make for services or goods provided is not intended to suggest that Notaryii provides any additional amounts, beyond those described above, to the Third Party Provider. You understand and agree that, while you are free to provide additional payment as a gratuity to any Third Party Provider who provides you with services or goods obtained through the Service, you are under no obligation to do so. Gratuities are voluntary. After you have received services or goods obtained through the Service, you will have the opportunity to rate your experience and leave additional feedback about your Third Party Provider.

 

8. Mobile Notary Rules and Responsibility

 

Requesting and Purchasing of Mobile Notary Services

By requesting and completing a purchase through the Site, the User agrees that an individual 18 years of age or older will be present to sign the documents with a valid form of identification. User agrees that all notarization services shall take place in the presence of a Notary Public and the signing party. The Notary Agent must personally observe the execution of each document and confirm the identity of each signing party before rendering services.

 

All notarizations shall take place in the presence of the signing party. The notary must personally observe the execution of each document.  Notary shall maintain the privacy of each signer and not divulge or use personal, confidential or proprietary information of any party which is disclosed during the execution of any documents, all as more particularly described in and controlled by the Notary Group Third-Party Notary Confidential Information Agreement executed by Notary Agent.

 

Notary Agent will not give advice to any signatory. Any questions regarding the content of the documents being executed should be referred back to the Company, Escrow officer or Company personnel designated in the loan package transmittal. Notary Agent shall at all times keep any and all documents and information safe and secure in his/her possession. Any emailing of documents by the Notary must be encrypted to secure personal information contained therein.

 

In the event of a breach or suspected breach in security (loss and/or improper disclosure of documents or customer information), whether physical or electronic, the notary will immediately advise the Company escrow officer or other Company personnel designated in the loan package transmittal of such breach as required by the SNI Third-Party Confidential Information Agreement, so SNI can promptly address such breach or suspected breach.

 

If no person at the scheduled address is at least 18 years of age and/or cannot provide valid photo identification, the Notary Agent will not render services.  All documents will be cleared from the order and returned to their owner and a $20 cancellation notary fee will be charged to the User’s credit card account.  No refunds will be issued under this circumstance.

 

​Delivery of Mobile Notary Services

​

Notary Agent shall hold a current notary commission in the state where notary services are performed and the Notary must keep current on the laws, practices, and requirements of the state's notarial office by obtaining any necessary training to do so. Errors and omissions insurance must be maintained by the notary with coverage that meets Notaryii’s satisfaction. Notary Agent shall renew such coverage prior to the expiration date and Notary understands he/she will not be able to provide services to the Company until such renewal documents are received by the Company.

 

Notary Agent shall be responsible for obtaining all required signatures and initials on all documents. Notary Agent shall not execute a false or incomplete certificate nor be involved with any document or transaction that he/she knows is false, fraudulent or deceptive. Notary shall safeguard his/her seal and notary journal (if such journal is required by state law or maintained at the option of the notary) at all times to prevent unauthorized use of such seal and/or journal.

The Notary Agent will make every attempt to complete the User’s order, but please note large orders may have to be completed on the premises or at multiple scheduled time. In the case of inclement weather or unforeseen mobile complications, it may be necessary to extend the one hour mobile service window for the Notary Agent. If there will be a significant delay, a customer service representative may call or email you to let you know the status of your notary time. The Notary Agent will arrive as quickly as possible when the conditions permit. If your designated mobile location (i.e., street, avenue) is inaccessible, rendering the Notary Agent unable to reach the address, we will contact you to determine the best alternate location.

 

The Notary Agent reserves the right to refuse to perform any notary services for any reason. This reservation includes, but is not limited to, refusing service to individuals who are visibly inebriated, and refusing service to specific buildings for access or safety reasons.

 

In an effort to meet the committed mobile notary service time for all our customers, the Notary Agent is not required to wait longer than 5 minutes for an inspection of the documents signed. Your order will arrive with an invoice that will list all of the documents you have notarized and were billed for and you can always find a copy in the Account Info section of the Site.  If something is missing or a page is not notarized from your order, please call 1-855-764-6682.

 

Mobile notary fees may vary based on the state, type of document and location of the User’s address. All mobile notary fees are inclusive of applicable taxes.

 

Order Cancellation and Refunds

If an order needs to be canceled, please call our customer service team at 1-855-764-6682 immediately. Please note: orders are processed for mobile notary services as soon as possible to meet SNI's 60 minute window.  Due to these circumstances, neither SNI nor the Notary Agent can guarantee the availability of changes or cancellation to any order once it has been placed. Cancelled orders may be subject to a $20 mobile cancellation fee if cancellation is hour from scheduled time. Neither Notaryii nor the Notary Agent, will make any refunds or exchanges for documents that were delivered, signed and notarized.

 

9. Termination and Modifications to the Site

SNI reserves the right, in its sole and absolute discretion, to modify, suspend, or discontinue at any time, with or without notice, the Site and/or services offered on or through the Site (or any part thereof), including but not limited to the Site' features, look and feel, and functional elements and related services.

10. Access to the Notaryii Mobile Service

You acknowledge that from time to time SNI or this Site may be inaccessible or inoperable for any reason, including, without limitation: (i) equipment malfunctions; (ii) periodic maintenance procedures or repairs with SNI may undertake from time to time; or (iii) causes beyond the control of Notaryii or which are not reasonably foreseeable by Notaryii.

 

11. Warranty Disclaimer; Limitation of Liability; Indemnification

THE MOBILE NOTARY SERVICE, THE SITE, AND ITS CONTENTS ARE PROVIDED ON AN "AS IS," "AS AVAILABLE" BASIS. NOTARYII DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OR ANY WARRANTIES ARISING FROM A COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE WITH RESPECT TO THE NOTARYII MOBILE SERVICE, THE SITE, OR ITS CONTENTS OR WITH RESPECT TO ANY INFORMATION, SERVICES, AND PRODUCTS PROVIDED THROUGH OR IN CONNECTION WITH THE MOBILE NOTARY SERVICE.

 

SNI DOES NOT ADOPT ANY REPRESENTATION OR WARRANTY OF ANY MANUFACTURER OR MERCHANT OF ANY SUCH INFORMATION, SERVICE, OR PRODUCTS. NOTARYII MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND AS TO THE AVAILABILITY, ACCURACY, OR CONTENT OF ANY INFORMATION, SERVICES, OR PRODUCTS OBTAINED THROUGH THE SITE OR THE MOBILE NOTARY SERVICES. NOTARYII DOES NOT WARRANT THAT THE FUNCTIONS PROVIDED BY THE SITE WILL BE UNINTERRUPTED OR ERROR FREE, OR THAT THIS SITE OR THE SERVER THAT MAKES IT AVAILABLE IS FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

 

IN CONNECTION WITH ANY WARRANTY, CONTRACT, OR COMMON LAW TORT CLAIMS, NOTARYII AND ITS DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, AFFILIATES, AGENTS, REPRESENTATIVES, THIRD-PARTY INFORMATION PROVIDERS, NOTARY AGENTS, MERCHANTS, OR LICENSORS (COLLECTIVELY, "NOTARYII MOBILE PARTIES") (I) SHALL NOT BE LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM THE USE OR INABILITY TO ACCESS AND USE THE SITE, THE NOTARYII MOBILE SERVICE, OR THE CONTENT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (II) ANY DIRECT DAMAGES THAT YOU MAY SUFFER AS A RESULT OF YOUR USE OF THE SITE, THE NOTARYII MOBILE SERVICE, OR THE CONTENT SHALL BE LIMITED TO THE MONIES YOU HAVE PAID US IN CONNECTION WITH YOUR USE OF THE SITE OR THE MOBILE NOTARY SERVICE DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENTS GIVING RISE TO THE CLAIM.

 

NOTARYII RESERVES THE RIGHT TO LIMIT YOUR ORDER OR THE QUANTITY OF A SPECIFIC PRODUCT YOU MAY ORDER. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SOME OF THE LIMITATIONS ON WARRANTIES IN THIS SECTION MAY NOT APPLY TO YOU.

 

The material in the Site is provided for lawful purposes only. SNI operates this Site for use in specific jurisdictions where it provides its Services, and makes no representation that these materials are appropriate or available for use in other locations. If you use the Site from other locations, you are responsible for compliance with applicable local laws. Price and availability information is subject to change without notice and may vary geographically.

 

You agree to defend, indemnify, and hold SNI Parties harmless from any and all suits, actions, legal or administrative proceedings, claims, demands, damages, liabilities, and expenses, including attorney's fees and costs, arising in connection with a violation of this Agreement by you or through use of your account.

 

12. Your account, password, and security

Use of Site services requires that you register as a member and/or create an account ("Account") or use the Site as a guest. To register and create an Account, you must select an account membership and password and provide certain personal information. In consideration of the use of the Site's services, you agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the registration form, and (b) maintain and promptly update the personal information you provide to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or Notaryii has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, SNI has the right to refuse any and all current or future use of the Site (or any portion thereof).

 

Text Messaging

By creating an Account, you agree that the Services may send you informational text (SMS) messages as part of the normal business operation of your use of the Services. You may opt-out of receiving text (SMS) messages from Notaryii at any time by texting the word STOP to our phone number from the mobile device receiving the messages. You acknowledge that opting out of receiving text (SMS) messages may impact your use of the Services.

 

Promotional Codes

Notaryii may, in Notaryii’s sole discretion, create promotional codes that may be redeemed for Account credit, or other features or benefits related to the Services and/or a Third Party Provider's services, subject to any additional terms that Notaryii establishes on a per promotional code basis ("Promo Codes"). You agree that Promo Codes: (i) must be used for the intended audience and purpose, and in a lawful manner; (ii) may not be duplicated, sold or transferred in any manner, or made available to the general public (whether posted to a public form or otherwise), unless expressly permitted by Notaryii; (iii) may be disabled by Notaryii at any time for any reason without liability to Notaryii; (iv) may only be used pursuant to the specific terms that Notaryii establishes for such Promo Code; (v) are not valid for cash; and (vi) may expire prior to your use. Notaryii reserves the right to withhold or deduct credits or other features or benefits obtained through the use of Promo Codes by you or any other user in the event that Notaryii determines or believes that the use or redemption of the Promo Code was in error, fraudulent, illegal, or in violation of the applicable Promo Code terms or these Terms.

You are responsible for maintaining the confidentiality and security of your Account and password, and you are fully responsible for all activities that occur under your password or Account, and for any other actions taken in connection with the Account or password. You agree to (a) immediately notify Notaryii of any known or suspected unauthorized use(s) of your password or Account, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your password or credit card information; and (b) ensure that you exit from your Account at the end of each session. Notaryii will not be liable for any injury, loss or damage of any kind arising from or relating to your failure to comply with (a) and (b) or for any acts or omissions by you or someone else using your Account and/or password.

 

13. Links

As a courtesy to you, the Site may offer links to other websites to permit you to order and receive products, information and services from businesses that are not owned or operated by SNI. SNI has no control of these third-party website pages, nor can it guarantee the accuracy, completeness, or timeliness of information in third-party website pages. 14. Trademarks

"Notaryii", all Notaryii logos, and all titles, characters, names, graphics and button icons are service marks, trademarks and/or trade dress of Notaryii or otherwise proprietary to Notaryii and may not be used by you for any reason other than as expressly permitted by these Terms of Service. All other trademarks not owned by Notaryii (or its affiliates) that appear on the Site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Notaryii  or its affiliates and you do not acquire any ownership rights in such marks, logos or names by using this Site of the Notaryii Mobile Service.

15. Consideration

You acknowledge that this Agreement is supported by reasonable and valuable consideration, the receipt and adequacy of which are hereby acknowledged. Without limiting the foregoing, you acknowledge that such consideration includes, without limitation, your use of the Site and receipt or use of data, content, products and/or services through the Site, the possibility of our review, use or display of your Submission(s), and the possibility of publicity and promotion from our review, use or display of your user-generated content.

 

16. Jurisdiction, Applicable Law, and Limitations

This Site is created and controlled by Notaryii and its’ affiliates in the State of New York, U.S.A. You agree that this Agreement will be governed by and construed in accordance with the laws of the United States of America and the State of New York, without regard to its conflicts of law provisions. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of this Agreement. Notaryii makes no claims or assurances that the Site is appropriate or may be downloaded outside of the United States. You agree that all legal proceedings arising out of or in connection with this Agreement, or services available on or through the Site must be filed in a federal or state court located in New York, New York. You expressly submit to the exclusive jurisdiction of said courts and consent to extraterritorial service of process.

 

17. General

Entire Agreement. Except as expressly provided in a particular "Legal & Privacy" posting or other notice on particular pages of the Site, these Terms and our Privacy Policy constitute the entire agreement between you and Notaryii, superseding all prior agreements regarding the Site. You may not assign these Terms without Notaryii's prior written approval. Notaryii may assign these Terms without your consent to: (i) a subsidiary or affiliate; (ii) an acquirer of Notaryii's equity, business or assets; or (iii) a successor by merger. Any purported assignment in violation of this section shall be void. No joint venture, partnership, employment, or agency relationship exists between you, Notaryii or any Third Party Provider as a result of this Agreement or use of the Services. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law. Notaryii's failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Notaryii in writing.

 

No Waiver

The failure of Notaryii to exercise or enforce any right or provision of the Agreement shall not constitute a waiver of said right or provision. Neither party hereto shall be deemed to be in default of any provision of the Agreement or for failure in performance resulting from acts or events beyond the reasonable control of such party and arising without its fault or negligence, including, but not be limited to, acts of God, civil or military authority, interruption of electric or telecommunication services, civil disturbances, acts of war or terrorists, strikes, fires, floods or other catastrophes.

 

Headings & Construction

The section titles in the Agreement are for your convenience only and carry no contractual or legal effect whatsoever. The language in this Agreement shall be interpreted in accordance with its fair meaning and shall not be strictly interpreted for or against either party.
